THIS AGREEMENT IS SUBJECT TO BINDING ARBITRATION AS DESCRIBED IN SECTION 17.

TreeHub Software as a Service Agreement

IMPORTANT. READ THIS TREEHUB SOFTWARE AS A SERVICE AGREEMENT (THIS “AGREEMENT”) BEFORE ACCEPTING IT OR CONTINUING REGISTRATION.

By selecting the acceptance option presented during registration for TreeHub, LLC’s software-as-a-service, you (the “Client”) acknowledge that you have read and agree to this Agreement. If accepting on behalf of a company or other legal entity, you represent that you have authority to bind that entity. If you lack that authority or do not agree, do not accept the Agreement or use the Service.

1. Definitions

1.1 Application means the software and other material used by TreeHub to access, configure, and provide Services.

1.2 Client Data means any data that Client sends to the Service and any data that Client receives from the Service in fulfillment of a request.

1.3 Intellectual Property Rights means all intellectual property rights, including patents, trademarks, trade names, service marks, copyright, trade secrets, know-how, processes, technology, development tools, ideas, concepts, design rights, domain names, moral rights, databases, methodologies, algorithms and inventions, and any other proprietary information, whether registered, unregistered, pending, or applied for.

1.4 Service(s) means software-as-a-service provided by TreeHub, including software for tree service companies to manage their business.

1.5 Users means those individuals authorized by you or on your behalf to use the Services, as defined herein.

1.6 You, your, or Client refers to the individual or entity that has ordered software-as-a-service from TreeHub, LLC.

2. Service

2.1 TreeHub Obligations. TreeHub agrees, subject to and during the term of this Agreement: (a) to provide the Service to Client in accordance with this Agreement; (b) to grant or procure a right for Client to access and use the Application as a part of the Service only; (c) to provide ongoing maintenance, upgrades, and enhancements to the Service; (d) to use all commercially reasonable efforts to prevent unauthorized access to, or use of, the Service; and (e) to notify Client promptly of any such unauthorized use which may affect Client.

2.2 Client Obligations. Client agrees, subject to and during the term of this Agreement: (a) not to reverse engineer the Application; (b) not to modify, copy, duplicate, reproduce the Software, or allow copies of the Software to be made by others; Client may make copies of the Software for backup purposes only; (c) to use an appropriate integration method for the volume and/or nature of queries to the Service; (d) that it is solely responsible for all its activities and for the accuracy, integrity, legality, reliability, and appropriateness of all Client Data; (e) to use all commercially reasonable efforts to prevent unauthorized access to, or use of, the Service, and to notify TreeHub of any such unauthorized use; (f) to comply with all applicable laws in using the Service, wherever such use occurs, and not use, or require TreeHub to use, any Client Data obtained via the Service for any unlawful purpose; and (g) to accurately represent Client’s use of the Service and data obtained from the Service.

3. Access to the Service, Fees, Term, and Payment

3.1 Client Accounts. Client must create an account and provide accurate, current contact and billing information before accessing the Service. The standard subscription includes one user. Additional users may be added for an additional monthly fee.

3.2 Term. The Service is offered on a month-to-month basis and renews monthly unless canceled under Section 4.1.

3.3 Fees and Price Changes. Standard pricing for new subscriptions is $375 per month, including one user, plus $15 per month for each additional user. Existing Clients may have separately agreed pricing. Client’s applicable fees are those agreed at signup or in a separate written agreement, subject to changes under this Section. TreeHub may increase subscription fees from time to time by providing at least thirty (30) days’ advance notice by email to the Account Owner. An increase will apply no earlier than the first renewal occurring after that notice period. Client may cancel before the increase takes effect to avoid renewal at the new price.

3.4 Payment. Subscription fees are paid by credit card through Stripe. Client authorizes recurring charges in advance for each monthly subscription period, on the anniversary of the signup date, and must maintain valid payment information. If a payment fails, TreeHub will notify Client and allow ten (10) days after notification to resolve the failed payment before suspending access. A fifty-dollar ($50.00) reinstatement fee applies when a canceled account is reestablished.

3.5 Data Exports. Clients with active accounts can export customer records, work orders, and proposals in comma-separated values (CSV) format. Clients may also download their uploaded images and documents in their original file formats. Post-cancellation requests are addressed in Section 4.4.

4. Cancellation, Suspension, and Termination

4.1 Cancellation of Service. The Account Owner may cancel through the account’s cancellation setting in TreeHub or by emailing info@treehub.me. Cancellation must be completed or the email request received before the next renewal to stop that renewal charge. Access continues through the end of the paid subscription period. TreeHub does not provide refunds for unused days or partial months.

4.2 Correctable Breach. For a violation of this Agreement that can be corrected, TreeHub will provide written notice and allow Client ten (10) days after notice to correct the violation before terminating the account for that violation.

4.3 Suspension and Termination. TreeHub may suspend access for an unresolved payment failure as provided in Section 3.4 and may terminate an account for an uncorrected violation under Section 4.2. TreeHub may also suspend access immediately when necessary to address a security threat, unlawful activity, or serious harm to the Service.

4.4 Data Access After Cancellation. Former Clients may request an export of their retained account data by emailing info@treehub.me within ninety (90) days after cancellation. Requests after that period are not covered by this export commitment. Cancellation does not automatically delete account data. TreeHub currently retains account information and associated data indefinitely unless deletion is requested, subject to the separate retention and deletion provisions in the Privacy Policy. Account Owners may request deletion by emailing info@treehub.me. TreeHub handles deletion requests manually and may verify the requester’s identity and authority before acting.

5. Availability, Maintenance, and Technical Support

5.1 Availability, Maintenance, and Software Updates. Disruptions in Service may occur. TreeHub will use commercially reasonable efforts to restore the Service after an interruption. TreeHub may perform maintenance and deploy bug fixes, security patches, and routine software improvements without a thirty-day waiting period. Significant changes to this Agreement are governed by Section 12; pricing changes are governed by Section 3.3. Routine software updates do not, by themselves, amend Client’s contractual rights or authorize new uses of Client Data.

5.2 Hosting. TreeHub uses Amazon Web Services to host its platform. Its AWS-hosted data is stored in the United States. Additional service providers and connected integrations are described in the Privacy Policy.

5.3 Technical Support. TreeHub’s support team is available twenty-four (24) hours a day, seven (7) days a week.

6. Confidential and Proprietary Information

For purposes of this Section, a party receiving Confidential and Proprietary Information shall be the “Recipient” and the party disclosing such information shall be the “Discloser.”

6.1 Acknowledgements.

6.1(a) By Client. Client acknowledges that the Service, including any documentation, source code, translations, compilations, partial copies, and derivative works used in connection with the Services, is provided using confidential and proprietary information belonging exclusively to TreeHub.

6.1(b) By TreeHub. TreeHub acknowledges that Client Data contains confidential and proprietary information belonging exclusively to Client or relating to Client’s affairs, in each case “Confidential & Proprietary Information.”

6.2 Not Confidential & Proprietary Information. Confidential and proprietary information does not include (a) information already known or independently developed by Recipient outside the scope of this relationship by personnel without access to any Confidential & Proprietary Information; (b) information in the public domain through no wrongful act of Recipient; or (c) information received by Recipient from a third party free to disclose it.

6.3 Covenant. Recipient agrees that during the term of this Agreement and at all times after its termination, Recipient shall not use, commercialize, or disclose the Confidential & Proprietary Information of Discloser to any person or entity, except as provided in Section 6.4.

6.4 Authorized Processing and Disclosure. TreeHub may process and disclose Client information as authorized by Client to provide the Service and connected features, including through the service providers and integrations described in the Privacy Policy. TreeHub does not sell personal information and does not currently share tree, pest, or disease information with universities, extension agents, or researchers. Information available to authorized users within Client’s organization depends on their assigned roles and permissions. The restrictions applicable to Google Calendar integration information are described in the Privacy Policy.

7. Location Data

With device permission, TreeHub collects precise device location, including in the background, to support crew tracking and mapping. Account Owners, Admins, Schedulers, and Sales Arborists within Client’s organization can view location information. Users manage or revoke location access through their device privacy settings. Disabling location permission may limit features that rely on current location. Tree and property coordinates saved in the platform are separate from live device-location permissions and remain saved when device-location access is disabled. Further information is provided in the Privacy Policy.

8. Warranty Disclaimer

TO THE EXTENT PERMITTED BY APPLICABLE LAW, TREEHUB PROVIDES THE SERVICE “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND SATISFACTORY QUALITY.

TreeHub does not guarantee that the Service will be error-free or uninterrupted, or that every error will be corrected. TreeHub does not control data transfer over the internet or other communications facilities, and the Service may experience limitations, delays, or delivery failures resulting from those facilities.

This Section does not eliminate TreeHub’s express obligations under this Agreement or any rights that cannot lawfully be excluded. This Agreement does not promise an automatic service credit for an interruption or error.

9. Mutual Indemnity

9.1 By TreeHub. TreeHub shall defend, indemnify, and hold Client harmless from any claim, including attorney fees, that TreeHub violated Section 6 or that the Service in the form provided violates or infringes any Intellectual Property Rights, provided that TreeHub is given prompt notice of the claim and sole control over the defense and any settlement, except that TreeHub shall not enter into a settlement prejudicial to Client without Client’s consent.

9.2 By Client. Client shall defend, indemnify, and hold TreeHub harmless from any claim, including attorney fees, that Client violated Section 6 or that Client Data or Client’s use of the Service harms any person, violates any law, or infringes any Intellectual Property Rights, provided that Client is given prompt notice of the claim and sole control over the defense and any settlement, except that Client shall not enter into a settlement prejudicial to TreeHub without TreeHub’s consent.

10. Limitation on Liability

Except for indemnities expressly provided in this Agreement, neither party is liable for direct damages exceeding one-half (1/2) of the fees paid by Client to TreeHub relating to the twelve (12) month period immediately preceding the last event giving rise to the claim, nor for any indirect, incidental, or consequential damage, including lost profit or business interruptions, even if notified in advance of such possibility, arising out of or pertaining to this Agreement. This limitation is independent of remedy limits.

11. Notices

Formal notices under this Agreement may be sent by mail or email. Client must keep its account contact information current. Notices to Client may be sent to the Account Owner’s email address or mailing address on file.

Notices to TreeHub may be sent by email to info@treehub.me or by mail to TreeHub LLC, 30 N Gould St Ste R, Sheridan, WY 82801. Subscription cancellation requests may also be submitted through TreeHub as provided in Section 4.1.

12. Changes to This Agreement

12.1 Significant Changes. TreeHub may update this Agreement. For significant changes, TreeHub will email the Account Owner at least thirty (30) days before the revised terms take effect, identify the effective date, and make the revised terms available on its website.

12.2 Urgent Changes. Where reasonably necessary to comply with an urgent legal requirement or address an urgent security need, TreeHub may make the relevant change effective sooner and provide notice as soon as reasonably possible. This exception does not shorten the thirty-day notice period for a subscription price increase under Section 3.3 and is not a general permission to expand uses of Client Data retroactively.

12.3 Acceptance and Cancellation. Continued use of the Service after revised terms take effect constitutes acceptance of those terms. A Client that does not agree to revised terms may cancel before their effective date using the methods in Section 4.1. Routine software maintenance and updates are addressed separately in Section 5.1.

13. Entire Agreement

This Agreement, any applicable written subscription or pricing agreement, and the Privacy Policy describe the parties’ agreement concerning the Service and supersede prior agreements and understandings concerning the same subject matter. Separately agreed subscription pricing remains subject to Section 3.3. Amendments may be made through the process in Section 12 or by a written agreement accepted by both parties.

14. Severability

If any provision is found illegal or unenforceable, the remaining provisions continue to be valid and enforceable, and that provision will be deemed severed.

15. Waiver of Contractual Right

The failure of either party to enforce a provision will not be construed as a waiver or limitation of that party’s right subsequently to enforce and compel strict compliance with every provision of this Agreement.

16. Assignment

Client may not assign or transfer this Agreement or its obligations without TreeHub’s prior consent. TreeHub shall not assign or transfer this Agreement without giving prior written notice to Client.

17. Applicable Law and Dispute Resolution

This Agreement is governed by the laws of South Carolina without regard to its conflict-of-laws principles. The parties select Charleston, South Carolina as the location for resolving disputes under this Agreement.

17.1 Dispute Resolution. A dispute arising out of or related to this Agreement may first be submitted to mediation if both parties agree, using a mutually agreed mediation provider. Each party will bear its own mediation costs. If mediation fails or the parties do not agree to mediate, contested matters shall be submitted to the Legal Resolution Center in Charleston, South Carolina for selection and resolution by a neutral arbitrator through binding arbitration pursuant to AAA Rules. Each party will bear its own costs during arbitration, and the prevailing party is entitled to reimbursement of reasonable attorney fees and costs. Nothing in this Section prohibits seeking emergency equitable relief pending mediation and arbitration.

18. Privacy Policy

TreeHub’s separate Privacy Policy describes its collection, use, sharing, retention, and deletion of personal information, including optional Google Calendar integration. The Privacy Policy is available at https://treehub.me/privacy/. Client should review that policy when using the Service or connecting an integration.
